Terms of Service

1. Who we are

Kubova (“Kubova”, “we”, “us”) is a container-loading calculator and logistics platform. These Terms govern your access to and use of the Kubova website, web application, REST API, and Model Context Protocol (MCP) server (together, the “Service”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Kubova computes container and pallet loading plans, capacity estimates, and 3D visualizations from the cargo and equipment data you provide, and can generate PDF reports. The same functionality is available through our REST API and our MCP server for use inside AI assistants and agents.

3. Accounts

You must provide an accurate email address and keep your credentials secure. You are responsible for all activity under your account and under any API keys you create. Notify us promptly of any unauthorized use. You must be at least 16 years old to use the Service.

4. Acceptable use

You agree not to: (a) reverse-engineer, resell, or sublicense the Service except as expressly permitted; (b) exceed published rate limits, circumvent usage metering, or probe, scan, or load-test the Service without our written consent; (c) upload unlawful content or infringe others’ rights; or (d) use the Service to build a directly competing product. API keys and MCP credentials are personal to your account; do not share or embed them in public clients.

5. Plans, billing, and trials

Paid plans are billed through our third-party payment provider, which acts as merchant of record and handles payment processing, invoicing, and applicable taxes. Subscriptions renew automatically until cancelled. You may cancel at any time from your dashboard or the billing portal; access continues until the end of the paid period. Free trials, where offered, convert to paid plans unless cancelled before the trial ends. Refunds are handled in accordance with the payment provider’s policies and applicable law.

6. Calculations are estimates — not a loading guarantee

Kubova’s loading plans, fill rates, weight figures, and visualizations are computational estimates generated from the data you enter. They are decision-support outputs, not engineering certifications. Actual loading must account for real-world factors Kubova does not fully model — including cargo fragility, weight distribution and axle limits, load securing and bracing, stacking strength, dangerous goods rules, customs and transport regulations, and carrier requirements. You are responsible for verifying any plan with qualified personnel before acting on it. The Service is provided for planning purposes only.

7. Your data and content

You retain ownership of the cargo, equipment, and project data you submit. You grant us a limited license to process it solely to operate and improve the Service. Our handling of personal data is described in our Privacy Policy.

8. Intellectual property

The Service, including the Kubova name, software, packing algorithms, and design, is owned by us or our licensors and protected by law. The Kubova MCP server is distributed under its stated open-source license; these Terms still govern your use of the hosted Service it connects to.

9. Availability and changes

We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features, and may update these Terms; material changes will be posted here with a new effective date. Continued use after changes constitutes acceptance.

10. Disclaimers and limitation of liability

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and accuracy of results. To the maximum extent permitted by law, Kubova will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, goods, data, or business, arising from your use of or reliance on the Service. Our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the claim.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms. On termination your right to use the Service ends; sections that by their nature should survive (e.g. ownership, disclaimers, liability limits) will survive.

12. Governing law

These Terms are governed by the laws of Vietnam, without regard to conflict-of-laws rules. Disputes will be subject to the competent courts of Vietnam, unless mandatory consumer-protection law in your country provides otherwise.
